The Referral Fee for Halo Period deals shall be ten percent (10%) of TCV allocated to Contract Year 1 only; no Referral Fee shall be payable for Contract Year 2 or beyond. Following expiration of the Halo Period and for the remainder of the Referral Window, before independently pursuing any other unit at the same institution, LICENSOR shall notify EBSCO in writing and provide EBSCO fifteen (15) days to submit a Deal Registration for such unit. If EBSCO submits a Deal Registration within such period, it shall be processed in accordance with Section 1 at the standard Referral Fee rates. If EBSCO declines or fails to respond within fifteen (15) days, LICENSOR may pursue such unit without any referral obligation to EBSCO.
